End-User License Agreement
Effective Date: February 19, 2026
This End-User License Agreement ("Agreement") is a legal agreement between you ("User") and XClear AI LLC ("Company," "we," "us," or "our") for the use of our software applications, integrations, and related services (collectively, the "Services").
By accessing or using our Services, you agree to be bound by this Agreement. If you do not agree, do not use the Services.
1. License Grant
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes, subject to the terms of this Agreement.
2. Restrictions
You agree not to:
- Copy, modify, or distribute the Services or any part thereof
- Reverse engineer, decompile, or disassemble the Services
- Use the Services for any unlawful purpose
- Sublicense, sell, or transfer your rights to use the Services
- Attempt to gain unauthorized access to any systems or networks connected to the Services
3. Intellectual Property
The Services and all related intellectual property rights are and remain the property of XClear AI LLC. This Agreement does not grant you any ownership rights in the Services.
4. Third-Party Services
Our Services may integrate with third-party applications and services (such as QuickBooks, Google Workspace, and others). Your use of such third-party services is governed by their respective terms of service and privacy policies. We are not responsible for the practices of third-party providers.
5. Data Handling
Any data you provide through the Services will be handled in accordance with our Privacy Policy. You retain ownership of your data. We access your data solely to provide the Services you have requested.
6. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, XCLEAR NETWORKS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.
8. Termination
We may terminate or suspend your access to the Services at any time, with or without cause. Upon termination, your right to use the Services ceases immediately. You may terminate this Agreement by discontinuing use of the Services.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Utah, without regard to conflict of law principles.
10. Changes to This Agreement
We reserve the right to modify this Agreement at any time. Changes will be posted on this page with an updated effective date. Continued use of the Services constitutes acceptance of the modified Agreement.
